Innovation in Australia

The Australian Government recently announced legislation to support business innovation, providing a range of significant tax incentives for small business,  and streamlined corporate legislation to facilitate investments by both professional as well as unsophisticated retail investors in startup companies. We are well placed to advise in this area.

Employee Share Schemes

As part of the Australian Government’s innovation proposals, additional incentives are made available for small companies making Shares and Share Option Schemes available to employees.  The benefits include a deferral of tax until the Shares are sold, as well as the 50% CGT discount where the Share sale occurs after at least 12 months.  Although the corporations legislation contains complex disclosure requirements, there are at least two areas where disclosure exemptions are available, namely:

  • Offers to Senior Managers
  • Small-scale offers

which from a practical point of view will enable most small companies to make these incentives available to senior employees with minimal red tape.
