
GOOD GOVERNANCE
Good governance is about making the right decisions, at the right time, by the right people. Sounds easy, but many organisations find that when their governance model is not working well, they have a tough time making decisions, often with too many people at the table. In addition, it is difficult to get others to buy into decisions when a good governance model is not in place. Here’s what VPro does:
• Evaluation of the current governance process. We have developed an assessment that is
completed by board members and major shareholders in order to understand how your
organisation compares to the standards of good governance. The assessment is tailored to your
company’s specific model
• We conduct interviews with board members and major shareholders to better understand
the challenges facing your company
• We will prepare a report summarising the results of our survey and a list of key issues identified,
and our recommendations for improvement
• Facilitation of a workshop with board members and major stakeholders. The workshop begins
with a presentation on what good governance looks like. This is followed by a review of
your current governance process, based on the assessment and interviews. Finally,
in consultation with you, we will define the vision for further governance process and
the required action needed to achieve that vision

BOARD DIRECTION – Effective Decision Making
Exercising managerial power and control over the activities of your company is a critically important function of boards of directors. The role of the directors is to determine the direction of the corporate business; to develop sound business policies and strategies to achieve business objectives; to appoint and empower senior management; to supervise and monitor performance; and to guide and direct the company’s endeavours.
To successfully give effect to those roles, your board needs to be organised so that it is able to efficiently consider and deliberate, and then to make effective decisions. Effective decision making also requires the right combination of skill, experience and expertise.
VPro’s approach is to:
• Meet with the chairman and other members of the board as well as major shareholders to
develop a clear understanding of the business and board dynamics
• Attend board meetings to assess functionality and effectiveness
• Talk individually with each of the directors to establish their particular approach, concerns
and recommendations
• In consultation with stakeholders, develop an effective method for the conduct of meetings,
to enable independent voices to be heard and for clear and effective debate to occur, leading
to clear decisions and implementation of policies
• We will document the outcome of our discussions and will present a clear set
of recommendations and processes for the conduct of effective board meetings
• We will then attend selected board meetings to monitor progress and to provide further feedback
